By accessing or using TradingJournal ("Service," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

TradingJournal is a free trading journal and analytics platform that allows users to:

• Track and manage trading activity across multiple markets
• Analyze trading performance with advanced metrics and charts
• Calculate position sizes and manage risk
• Import and export trading data
• Sync data across multiple devices

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access or security breach

Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

Account Termination

You may delete your account at any time from your account settings. We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

You agree NOT to use the Service to:

• Infringe on intellectual property rights
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers

Your Content

You retain all rights to the trading data, notes, and other content you submit to the Service ("User Content"). By submitting content, you grant us a limited license to store, process, and display your content solely to provide the Service.

Content Restrictions

You are solely responsible for your User Content. You agree that your content will not:

• Violate any laws or regulations
• Infringe on third-party rights
• Contain false or misleading information
• Contain malicious code or spam

Content Removal

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, at our sole discretion.

The Service and its original content (excluding User Content), features, and functionality are owned by TradingJournal and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract source code.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including but not limited to:

• Merchantability and fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or availability of the Service
• That the Service will be uninterrupted, secure, or error-free

IMPORTANT: TradingJournal is a tracking and analytics tool only.

• We do not provide financial, investment, or trading advice
• The Service does not constitute a recommendation to buy or sell any security or financial instrument
• Past performance data displayed in the Service does not guarantee future results
• Trading and investing involve substantial risk of loss
• You are solely responsible for your own trading and investment decisions
• You should consult with qualified financial professionals before making investment decisions

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADINGJOURNAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Loss of use or business interruption
• Trading losses or missed trading opportunities
• Costs of procurement of substitute services

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the past 12 months (which is $0 for our free service).

You agree to indemnify, defend, and hold harmless TradingJournal and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by email or through a prominent notice on the Service. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
